Why buy instead of start
More small business owners will retire in the next decade than at any point in history.
Someone is going to buy those businesses. HVAC contractors, plumbing companies, machine shops, B2B service firms: profitable, essential, and coming to market because the people who built them are ready to step away.
You do not need millions in cash to buy one. An SBA 7(a) loan can finance most of the purchase price, with the buyer's equity injection often starting around 10% of the total project cost. However, the bank's credit committee will scrutinize every detail. If working capital surprises you, or seller discretionary earnings (SDE) addbacks are not justified, the deal will not pass underwriting.
Our team brings credit underwriting experience to your side of the table, before you sign anything.
Work with us one-on-one
Help from the first search to closing day.
We start by settling what you can afford and what kind of business you should be looking for. From there our expert advisors review the listings and CIMs you find, recast the earnings, size the loan, test the coverage, and help you write an offer a seller will accept and a lender will approve. After the LOI, our team stays on through diligence, underwriting, and closing.
Who this is for
- Corporate professionals leaving a W-2 role to own a business
- First-time buyers planning to use SBA 7(a) financing
- Buyers who already have a CIM or a signed LOI and want an underwriter's read before they go further
Deal evaluation
Our expert advisors read the CIM and the tax returns the way a lender will: which addbacks hold up, how much working capital the business really needs, where the customer concentration is, and whether the asking price can be financed at all.
Financing structure
We size the SBA 7(a) loan, the equity injection, and any seller note, then test the debt service coverage ratio against a 20% drop in earnings before you commit to an offer.
Closing support
After the LOI, our team helps you run diligence, answer the lender's questions, and keep the broker, CPA, attorney, and bank moving in the same direction until the deal funds.

Questions from buyers
Before you start your search.
Practical answers about capital, SBA financing, evaluating opportunities, and working with an acquisition advisor.
How much cash do I need before I start looking for a business to buy?
We recommend having access to at least $50,000 in liquid funds before beginning a serious search. That is not a fixed down payment or a guarantee of financing. Your actual cash requirement will depend on the purchase price, lender requirements, closing costs, working capital needs, and the structure of the transaction.
Do I need to find a business before I talk to BSR?
No. Starting before you have a target lets us set a realistic buy box, estimate what size of business your liquidity and credit profile can support, and build a screening process so you stop wasting time on listings that will not clear a credit committee. If you already have a listing, a CIM, or a signed letter of intent, our team can step in at that point too.
Can an SBA 7(a) loan be used to buy an existing business?
Yes. The SBA lists a change of ownership as an eligible use of 7(a) loan proceeds, and it is the most common way individual buyers finance an acquisition under $5 million. Approval is not automatic. The lender underwrites the buyer, the business, the transaction structure, and the use of funds against its own credit policy and the current SBA Standard Operating Procedure.
What makes a business a strong acquisition candidate?
Our expert advisors look for established operations, cash flow we can tie back to tax returns, clean financial records, no customer or supplier making up an outsized share of revenue, and enough earnings to cover debt service and pay the new owner a real salary. As a rule of thumb, we want a debt service coverage ratio of at least 1.25x after the buyer's compensation, and we want the deal to still hold up if earnings fall 20%. A well-written listing is not evidence of any of that.
Can a first-time buyer qualify for acquisition financing?
Yes. First-time buyers close SBA acquisitions every day. Lenders care about your credit history, your liquidity after closing, relevant management or industry experience, the quality of the target business, and whether your operating plan makes sense. Before the search starts, our team reviews your credit profile with you and points out the practical steps that improve how a lender will read your file.
What does BSR actually do during an acquisition?
Our expert advisors evaluate the opportunities you bring our team, recast the seller's earnings so we know what cash flow is real, flag the issues a credit committee will raise, size the SBA loan and the equity you will need, and help you prepare for diligence and lender conversations. Our job is to help you make a financially sound decision. It is not to talk you into any particular deal, and we will tell you when we think you should walk away.
How long does it take to buy a business?
The full process often takes several months and varies widely by the search, seller responsiveness, diligence findings, financing, and closing requirements. A well-prepared buyer can move more efficiently, but no advisor or lender can guarantee a closing timeline.
